1. Scope and Interpretation

1.1. This Schedule 2 ("Subscription Schedule") supplements and forms part of the Adema Terms of Service ("Terms"). It governs the structure, features, billing, renewal, upgrade, downgrade, and cancellation of access tiers and Subscription Plans.

1.2. Capitalised terms not defined here have the meanings given in the Terms or Schedule 1 (Token Policy).

1.3. In the event of conflict between this Schedule and the Terms, the Terms prevail unless this Schedule expressly states otherwise.

2. Access Tier Overview

2.1. The Platform offers three access tiers:

2.2. Enterprise customers may access a fourth tier (Enterprise / Custom) governed by an Order Form under clause 6 of the Platform License Agreement. Enterprise terms override this Schedule where they expressly apply.

3. Free Tier

3.1 Eligibility

The Free Tier is available to any User who creates an account. One Free Tier account per natural person or legal entity. Adema reserves the right to verify eligibility and close duplicate accounts.

3.2 Features and limits

3.2.1. The Free Tier provides access to a limited subset of Platform features, subject to usage caps (e.g., number of reports, queries, or data points per calendar month).

3.2.2. Specific features, limits, and caps are published on the Platform's pricing page and may vary over time.

3.2.3. Free Tier usage caps reset at the beginning of each calendar month (UTC midnight on the 1st). Unused allowance does not roll over.

3.3 No payment obligation

The Free Tier does not require payment. No payment method needs to be provided to access the Free Tier.

3.4 Promotional Tokens

Adema may, at its discretion, issue Promotional Tokens to Free Tier Users (e.g., on sign-up, during beta campaigns, or as part of referral programmes). Such Tokens are governed by Schedule 1 (Token Policy) and any terms disclosed at the time of issue.

3.5 Modification and discontinuation

Adema may modify Free Tier features, limits, or caps, or discontinue the Free Tier entirely, on not less than 30 days' written notice. Free Tier Users will be given the option to upgrade to a paid plan or close their account.

3.6 No SLA

The Free Tier is provided on an "as available" basis. No service level commitments, uptime guarantees, or priority support apply. The Service Level Expectations document does not apply to the Free Tier unless expressly stated.

3.7 Acceptable use

Free Tier accounts are subject to the Acceptable Use Policy. Adema may suspend or terminate Free Tier accounts that violate the AUP or that are used for purposes inconsistent with good-faith evaluation or personal use (e.g., automated scraping, bulk data extraction, or circumventing paid plan requirements).

4. Token Access (Pay-As-You-Go)

4.1 How it works

Users may purchase Token bundles without subscribing to a recurring plan. Purchased Tokens are credited immediately and consumed per the rules in Schedule 1.

4.2 Feature access

Token Access Users have access to the same features as the lowest-tier Subscription Plan, unless specific features are designated as "Subscription-only" on the pricing page. Adema will clearly label any features that require a Subscription Plan.

4.3 No recurring commitment

Token purchases are one-off transactions. There is no recurring billing, auto-renewal, or minimum spend requirement (except where a minimum purchase quantity is set per ToS clause 7 or Schedule 1).

4.4 Combining with Subscriptions

Token Access Users may upgrade to a Subscription Plan at any time. Existing Paid Tokens carry over and are consumed after any bundled Subscription Tokens per the FIFO rules in Schedule 1.

5. Subscription Plans

5.1 Plan structure

Subscription Plans are offered at one or more tiers (e.g., Starter, Professional, Business) with varying features, limits, and bundled Token allowances. The current plans and pricing are published on the pricing page.

5.2 Plan comparison framework

Actual plan names, prices, and feature sets are on the pricing page. The table below shows the structure of how plans differ.

5.3 Billing cycles

5.3.1. Subscription Plans are billed in advance on a monthly or annual cycle, as selected at checkout.

5.3.2. The billing cycle begins on the date of first payment ("Billing Date") and recurs on the same date each month or year (or the nearest available date).

5.3.3. Annual plans may be offered at a discounted rate compared to the equivalent monthly price. The annual discount (if any) is displayed at checkout.

5.4 Bundled Token allocation

5.4.1. Each Subscription Plan includes a monthly bundled Token allowance, credited at the start of each billing cycle.

5.4.2. Bundled Tokens are treated as Paid Tokens for FIFO and refund purposes (Schedule 1).

5.4.3. Unless the plan expressly permits rollover, unused bundled Tokens from one billing cycle do not carry over to the next. Where rollover is permitted, it is limited to one billing cycle unless stated otherwise.

5.4.4. If the bundled allowance is exhausted mid-cycle, the User may: (a) purchase additional Token bundles (pay-as-you-go top-up); or (b) upgrade to a higher-tier plan (clause 6).

5.5 Auto-renewal

5.5.1. Subscription Plans auto-renew at the end of each billing cycle at the then-current price, unless the User cancels before the renewal date.

5.5.2. Adema will send a renewal reminder not less than 7 days before the renewal date (for monthly plans) or 14 days before (for annual plans).

5.5.3. Where prices have increased since the last billing cycle, the renewal reminder will include the new price and a clear option to cancel.

5.6 Payment failure

5.6.1. If a renewal payment fails, Adema will attempt to collect payment up to three (3) times over a 14-day grace period.

5.6.2. During the grace period, access continues at the current plan level.

5.6.3. If payment is not collected by the end of the grace period, the Subscription will be downgraded to the Free Tier (or suspended, if no Free Tier is available). The User will be notified by email before downgrade.

5.6.4. Unused bundled Tokens at the point of downgrade are not refunded but may be reinstated if the Subscription is reactivated within 30 days.

6. Upgrades and Downgrades

6.1 Upgrades

6.1.1. Users may upgrade their Subscription Plan at any time via the Platform.

6.1.2. Upgrades take effect immediately. The User is charged a pro-rata amount for the remainder of the current billing cycle at the new plan's rate, minus a credit for the unused portion of the current plan.

6.1.3. Any unused bundled Tokens from the previous plan carry over into the new plan and are consumed per FIFO (Schedule 1).

6.1.4. The new plan's bundled Token allowance is credited at the start of the next full billing cycle (not immediately on upgrade, to avoid double-allocation).

6.2 Downgrades

6.2.1. Users may downgrade their Subscription Plan at any time via the Platform.

6.2.2. Downgrades take effect at the start of the next billing cycle. The User retains access to the higher-tier plan until the end of the current billing cycle.

6.2.3. No pro-rata refund is issued for the remainder of the current billing cycle on downgrade.

6.2.4. Unused bundled Tokens from the higher-tier plan carry over into the new billing cycle but are subject to the new plan's rollover rules (if any).

6.2.5. If the downgraded plan does not include a feature the User currently relies on, the Platform will notify the User before confirming the downgrade.

6.3 Free Tier to paid

Upgrading from the Free Tier to a paid plan follows the same process as clause 6.1 (with no pro-rata credit, as there is no existing paid subscription).

6.4 Paid to Free Tier

Downgrading to the Free Tier is treated as cancellation of the Subscription Plan (clause 7). The User retains access until the end of the current billing cycle, then reverts to the Free Tier.

7. Cancellation

7.1 How to cancel

Users may cancel their Subscription Plan at any time via: (a) the account settings page in the Platform; or (b) written request to support@adema.ai.

7.2 Effect of cancellation

7.2.1. Cancellation takes effect at the end of the current billing cycle. The User retains full access to the plan's features until that date.

7.2.2. No refund is issued for the remainder of the current billing cycle (unless consumer cooling-off applies per ToS clause 9).

7.2.3. Unused bundled Tokens from the current billing cycle remain usable until the end of the billing cycle. After that date, unbundled Paid Tokens (purchased separately) remain in the account and do not expire (Schedule 1). Bundled Tokens that were not used do not carry over after cancellation.

7.2.4. After cancellation, the account reverts to the Free Tier (if available) or is placed in a read-only state where the User can view and export existing data but cannot generate new Digital Content.

7.3 Consumer cooling-off

Consumer cooling-off and refund rights are governed by ToS clause 9 and are not affected by this clause 7.

7.4 Reactivation

A cancelled Subscription may be reactivated at any time by selecting a new plan and completing payment. Any remaining Paid Tokens (non-bundled) in the account will be available on reactivation.

8. Pricing and Price Changes

8.1 Current pricing

Current Subscription Plan prices are published on the pricing page (Adema.ai/pricing). Prices are exclusive of VAT unless stated otherwise.

8.2 Price changes

8.2.1. Adema may change Subscription Plan prices on not less than 30 days' prior written notice (ToS clause 7.5).

8.2.2. For annual plans, the new price takes effect at the next annual renewal. Users will be notified at least 30 days before renewal with the new price and a clear option to cancel.

8.2.3. For monthly plans, the new price takes effect at the first billing cycle starting at least 30 days after the notice.

8.2.4. Continued subscription after the effective date constitutes acceptance. If you do not agree, you may cancel before the effective date.

8.3 Promotional and introductory pricing

Adema may offer promotional, introductory, or discounted pricing for a limited period. On expiry, the standard published price applies. Promotional terms are disclosed at checkout.

8.4 Enterprise pricing

Enterprise pricing is set in the Order Form and is not affected by changes to standard published pricing during the Order Form term.

9. Feature Availability and Changes

9.1. Adema may add new features to the Platform at any time. New features may be included in existing plans or offered as add-ons.

9.2. Adema may modify or remove features on not less than 30 days' written notice. If a material feature is removed from a plan, Users will be given the option to cancel without penalty.

9.3. Beta and experimental features may be offered on specific plans. Beta features are provided "as is" with no SLA and may be withdrawn at any time with reasonable notice.

9.4. Feature availability by plan is published on the pricing page and within the Platform.

10. Fair Use

10.1. All access tiers are subject to fair-use limits designed to maintain Platform performance and prevent abuse.

10.2. Fair-use limits may include: API rate limits, query frequency caps, concurrent session limits, data volume thresholds, and export quotas.

10.3. Limits are published in the Platform documentation and/or the pricing page. Adema will notify Users who approach or exceed limits before taking enforcement action (except in cases of automated abuse or security threats).

10.4. If a User consistently exceeds fair-use limits, Adema may recommend an upgrade to a higher-tier plan or negotiate custom terms via an Order Form.

11. Account Data on Plan Changes

11.1. Upgrades, downgrades, and cancellations do not result in loss of Licensee Data. All User-generated data and Digital Content remains accessible (subject to data retention policies in the Privacy Policy).

11.2. If a downgrade reduces storage or retention limits below the User's current usage, the User will be notified and given a reasonable period (not less than 30 days) to export or reduce their data before enforcement.

11.3. On account closure (as opposed to cancellation/downgrade), data deletion follows ToS clause 10.5(d) (30 days).

12. Taxes

12.1. All prices are exclusive of VAT (or equivalent sales tax) unless expressly stated otherwise.

12.2. VAT is charged where required by UK law. The applicable VAT rate is displayed at checkout.

12.3. Business Users in the UK may be eligible for VAT invoicing. Enterprise customers may arrange VAT-exempt or reverse-charge treatment as specified in their Order Form.

13. Changes to This Schedule

13.1. Adema may update this Schedule on 30 days' written notice.

13.2. Material changes (to plan structure, bundled allowances, rollover rules, or cancellation terms) will be highlighted in the notice.

13.3. Continued use after the effective date constitutes acceptance.

14. Governing Law

This Schedule is governed by the laws of England and Wales and is subject to the jurisdiction provisions in the Terms of Service.
